End-User License Agreement (EULA)

ATTENTION: This End-User License Agreement (“Agreement”) is a legal contract between you (an individual or legal entity — the “User”) and Pametne Tehnologije d.o.o. (“Licensor”, “We”) regarding the use of the software Placetel/Webex – Bitrix24 integration (the “Application”), intended for integrating the Bitrix24 CRM system with Placetel or Webex telephony services.

By installing, accessing, or using the Application, you confirm that you have read and understood the terms of this Agreement and agree to comply with them. If you do not agree, you are not entitled to use the Application.

1. Subject of the Agreement

1.1. The Licensor grants the User a limited, non-exclusive, non-transferable, and non-sublicensable license to use the Application solely for the purpose of integrating the CRM system with the telephony service, within the scope and number of users/accounts permitted under the applicable license terms.
1.2. All rights, title, and interest in and to the Application and related materials remain with the Licensor or its licensors. No ownership rights are transferred to the User.

2. Restrictions

The User is prohibited from:

  • modifying, accessing the source code, or reverse engineering the Application, except as expressly permitted by Directive 2009/24/EC on the legal protection of computer programs;
  • using the Application for purposes that violate EU law or the laws of EU member states;
  • providing the Application to third parties without the Licensor’s prior written consent;
  • renting, leasing, sublicensing, or otherwise making the Application available to third parties, including through cloud or SaaS services;
  • circumventing technical protection measures;
  • using the Application to develop competing solutions.
3. Integrations and Third-Party Services

3.1. The Application interacts with third-party services (Bitrix24, Webex, Placetel). The use of such services is governed by their own agreements and policies.
3.2. The Licensor is not responsible for the operation, availability, or continuity of third-party services.
3.3. The Application may cease functioning if third-party APIs or integrations change. The Licensor is under no obligation to ensure continued compatibility.

4. Updates and Support

4.1. The Licensor may, at its sole discretion, release updates (patches, fixes, improvements) to enhance stability and security. The Licensor does not guarantee the development or release of new features.
4.2. Support is provided free of charge upon request, within a reasonable timeframe, and may be limited in scope, duration, language, or communication channels.

5. Processing of Personal Data

5.1. When using the Application, personal data is processed (including phone numbers, subscriber names as provided in Bitrix24, Webex, Placetel, as well as links to call recordings).
5.2. The Licensor and the User undertake to comply with Regulation (EU) 2016/679 (GDPR) and applicable national data protection laws.
5.3. By accepting this Agreement (EULA):

  1. if the User is a natural person, the processing of personal data is governed by the Privacy Policy;
  2. if the User is a legal entity, the processing of personal data on behalf of the User is governed by the Data Processing Agreement (DPA), which forms an annex to this Agreement.
5.4. The User is responsible for the lawful collection, storage, and transfer of personal data via the CRM and telephony service.

6. Limitation of Liability

6.1. The Application is provided “as is” (AS IS) without warranties of fitness for a particular purpose, except as expressly required by EU law.
6.2. The Licensor shall not be liable for:

  • indirect damages, loss of profit, or loss of data;
  • failures or unavailability of third-party services;
  • incompatibility of the Application with the User’s hardware, software, or infrastructure;
  • damages caused by the User’s non-compliance with data protection or other applicable laws.
6.3. In any case, the Licensor’s liability is limited to the amount of the license fee actually paid by the User for the use of the Application, unless otherwise required by mandatory provisions of EU law.
6.4. The Licensor shall not be liable for failures caused by force majeure events, including but not limited to natural disasters, war, sanctions, strikes, or internet outages.
6.5. The limitations of liability apply to the maximum extent permitted by law.

7. Term and Termination

7.1. This Agreement enters into force upon installation or first use of the Application.
7.2. The Licensor may terminate the license immediately in case of a material breach of the Agreement by the User. In such case, all rights to use the Application shall cease without further notice.
7.3. The Licensor reserves the right to block or deactivate access to the Application in the event of a violation of this Agreement.
7.4. The User may cease using the Application at any time by deleting it from the CRM system.

8. Governing Law and Dispute Resolution

8.1. This Agreement is governed by the laws of the European Union and the Republic of Slovenia.
8.2. For Users acting as businesses or organizations, all disputes shall be resolved by the competent courts at the Licensor’s place of registration.
8.3. For Users acting as consumers, mandatory provisions of EU consumer protection law apply, including the right to bring claims before the courts of the Member State of their residence.

9. Miscellaneous

9.1. The invalidity of any provision of this Agreement does not affect the validity of the remaining provisions.
9.2. The Licensor may amend this Agreement by notifying the User in advance. Changes enter into force no earlier than thirty (30) days after such notice. Continued use of the Application after the effective date constitutes acceptance of the amended terms.
9.3. Notices may be provided electronically, including via email, website, or the Application interface.
9.4. This Agreement constitutes the entire agreement between the Licensor and the User regarding the Application and supersedes all prior agreements, communications, and understandings.
